Terms and Conditions

1. Agreement to Terms

By accessing or using Gritt's services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms apply to all visitors, users, and customers who access or use the Services provided by Gritt ("Company", "we", "us", or "our").

2. Description of Services

Gritt provides managed DevSecOps services including but not limited to:

  • Security integration and scanning (SAST, DAST, SCA)
  • CI/CD pipeline optimization and management
  • Secrets management and rotation
  • Compliance automation and monitoring
  • Infrastructure as Code management
  • Observability and monitoring solutions

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Service Level Agreement

We strive to maintain 99.9% uptime for our Services. Specific service level commitments are outlined in individual customer agreements. In the event of service disruptions:

  • We will provide timely notification of known issues
  • We will work diligently to restore services
  • Service credits may be provided as outlined in your service agreement

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of our Services
  • Use the Services for any illegal or unauthorized purpose

6. Payment Terms

For paid Services:

  • Fees are billed monthly or annually as agreed upon
  • Payment is due within 30 days of invoice date
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to modify pricing with 30 days notice
  • Late payments may result in service suspension

7. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are the exclusive property of Gritt and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of your data and code. By using our Services, you grant us a limited license to access and process your data solely for the purpose of providing the Services.

8. Confidentiality

We maintain strict confidentiality of all customer data and information. We will not disclose your confidential information to third parties except:

  • With your explicit consent
  • To comply with legal obligations
  • To protect our rights or property
  • To trusted service providers bound by confidentiality agreements

9. Limitation of Liability

To the maximum extent permitted by law, Gritt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services.

Our total liability for any claims arising from these Terms or your use of Services shall not exceed the amount paid by you for Services in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Gritt and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services or violation of these Terms.

11. Termination

Either party may terminate the service agreement:

  • With 30 days written notice for convenience
  • Immediately for material breach of these Terms
  • Immediately for non-payment after reasonable cure period

Upon termination, we will provide reasonable assistance in transitioning your data and services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of San Francisco County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through our Services. Your continued use of Services after such modifications constitutes acceptance of the updated Terms.
